1. Purpose and acceptance

These terms and conditions govern the sale and use of the software and licences published by LOGIC FACTORY SAS, including ERP Commander. Any order placed on erp-commander.com implies unconditional acceptance of these terms. The version that applies is the one in force at the date of the order.

2. Products and licence models

Licences are granted on a non-exclusive, non-transferable basis. The scope of use depends on the licence model of each product, stated on its page at the time of purchase:

2.1 Per-instance licence

For products licensed per instance (including ERP Commander), the licence permits use on a single Oracle ERP Cloud production instance. Use on non-production instances (development, test, staging) belonging to the same customer is included at no extra cost.

2.2 Per-URL licence

For products licensed per number of URLs, the licence permits use on a defined number of Oracle ERP Cloud instance URLs, whether production or non-production. The number of authorised URLs is the one purchased and may be increased through an additional subscription. The holder declares and manages authorised URLs from their account.

In all cases, each licence key is unique and must not be shared, resold or redistributed beyond the purchased scope.

3. Prices, subscriptions and renewal

Prices are shown in euros. Applicable VAT is added based on the customer's country and, where relevant, the EU reverse-charge mechanism. Depending on the product, licences are offered as a one-time purchase, an annual subscription or a monthly subscription.

Auto-renewing subscriptions renew at term by charging the saved payment method until cancellation. The customer may cancel renewal at any time from their account; cancellation takes effect at the end of the current, already-paid period, with no further charge. If a charge fails, access to the licence may be suspended until payment is settled.

4. Payment

Payment is made by card via Stripe (PCI-DSS compliant) or by bank transfer for plans without automatic renewal. The licence is activated after the payment has actually been received.

5. Right of withdrawal

As the licence is digital content activated immediately upon payment, the consumer acknowledges waiving the right of withdrawal. These terms are primarily intended for business customers.

6. Intellectual property

All intellectual property rights in the software, documentation, logos and trademarks remain the exclusive property of LOGIC FACTORY. No rights are transferred to the licensee other than the limited right of use defined herein. Reverse engineering, decompilation or disassembly of the software is prohibited.

7. Limitation of liability

The software is provided "as is". To the extent permitted by law, LOGIC FACTORY shall not be liable for indirect damages arising from the use or inability to use the software. LOGIC FACTORY's total liability shall not exceed the amount paid by the customer for the relevant licence over the last twelve months.

8. Governing law and disputes

These terms are governed by French law. Failing an amicable resolution, and subject to mandatory consumer rules, any dispute shall be submitted to the exclusive jurisdiction of the courts of Lyon, France.
